These Terms of Use ("Terms") govern access to and use of Kobana Team, a product of Kobana Tecnologia Ltda., registered with CNPJ under No. 05.813.794/0001-26, headquartered in Barueri, São Paulo ("Kobana", "Owner" or "we"), by any individual or legal entity that uses it ("User" or "you").

Kobana Team is a team of artificial intelligence agents specialized in Brazilian finance, which operates in an assistive way and, when expressly authorized, in an agentic way within connected systems (banks, Pix, boleto, CNAB, ERPs, spreadsheets, email and other integrations).

By creating an account, subscribing to a plan or using any part of Kobana Team, the User declares to have read, understood and fully accepted these Terms. If you do not agree, do not use the product.

2. Definition of Kobana Team

For the purposes of these Terms, Kobana Team comprises:

  • The kobana.team website and its subdomains;
  • The web interfaces and any mobile or desktop applications;
  • Kobana's AI agents (including, without limitation, Kevin, Klaus, Kelly, Karin and Kadu), with their respective personas, system prompts, tools and integrations;
  • The APIs, webhooks, SDKs and integrations made available;
  • The automation flows, memory, policies, configurations and associated documentation;
  • Any improvements, updates, new versions and derivative products.

Kobana Team integrates with the Kobana platform (financial product of Kobana Tecnologia Ltda.) and with third-party services authorized by the User, but has its own Terms — these — which prevail over prior versions applicable to this specific product.

3. Documents incorporated by reference

The following documents are part of and complement these Terms, in this order of precedence in case of conflict:

  1. These Kobana Team Terms of Use;
  2. Kobana's general Terms of Use (https://www.kobana.com.br/termos), applicable on a subsidiary basis;
  3. Kobana's Privacy Policy;
  4. Data Retention Policy;
  5. Information Security Policy;
  6. Terms of APIs and third-party integrations enabled by the User;
  7. Service Level Agreement (SLA), when applicable to the contracted plan.

4. Eligibility and account registration

4.1 Age and capacity

Kobana Team is intended exclusively for persons aged 18 (eighteen) or older and fully capable of contracting under Brazilian law, or for legal entities represented by agents with the authority to do so.

4.2 Registration

The User must provide complete, truthful and up-to-date information upon registration. It is the User's obligation to:

  • Keep credentials (password, token, API key, 2FA code) confidential and not share them;
  • Use strong passwords;
  • Maintain one account per user (except by written exception);
  • Immediately notify the Owner at the email above in case of suspected unauthorized access.

4.3 Organizational accounts

Corporate-domain email addresses may be linked to enterprise accounts. Organization administrators may monitor, restrict or terminate the User's access, as well as view Inputs, Outputs and Materials generated in the account, with or without prior notice to the User, subject to the Privacy Policy and applicable law.

4.4 Suspension and deletion

The Owner may suspend or delete accounts with 30 (thirty) days' prior notice in the following cases:

  • Violation of these Terms;
  • Registration irregularities not remedied;
  • Use that harms third parties;
  • Unlawful activity (money laundering, fraud, terrorism financing);
  • Judicial or regulatory determination.

In cases of proven fraud or imminent risk of harm, suspension is immediate, without prior notice.

5. Kobana Team as an AI team

5.1 Nature of the agents

Kobana Team agents are artificial intelligence systems based on third-party large language models ("LLMs") and on Kobana's proprietary components. Each agent has its own persona, scope, tools and memory, defined by Kobana.

5.2 Inputs, Outputs, Actions and Materials

  • Inputs: data, instructions, documents, messages, files, prompts and any other content provided by the User to the agents.
  • Outputs: responses, texts, reports, spreadsheets, code, entries, recommendations and any other content generated by the agents based on the Inputs.
  • Actions: operations performed by the agents in connected systems at the User's request — for example, issuing a boleto, creating a Pix charge, making a transfer, reconciling, updating an ERP, sending an email, making an API call.
  • Materials: the set of Inputs, Outputs and Actions.

5.3 Authority delegated to the agents

By enabling agentic features and connecting third-party accounts (banks, ERPs, CRMs, email, spreadsheets, etc.), the User expressly authorizes the agent to act on their behalf and for their account within the configured limits. Any Action initiated by an agent is deemed authorized by the User who holds the account, even if it results from an automatic instruction, a scheduled task or a trigger from another agent within the same organization.

It is the User's responsibility to correctly configure permission scopes, financial limits, manual approvals (human-in-the-loop) and internal controls compatible with their risk tolerance.

5.4 Inaccuracies and independent verification

Outputs may contain material inaccuracies even when they appear detailed, technical or confident. LLMs may hallucinate, cite non-existent sources, miscalculate, misinterpret documents or produce content that does not reflect current, complete or regulatorily correct information.

The User is solely responsible for verifying, validating and reviewing every Output before using it for any relevant decision — especially financial, accounting, tax, legal, labor, corporate or regulatory decisions.

5.5 No professional advice

Kobana Team does not replace qualified professionals. Outputs do not constitute, and must not be treated as, accounting, legal, tax, financial, investment, audit, compliance, AML-CTF or information security advice. The User should seek qualified professionals whenever the subject matter requires it.

5.6 Synthetic content disclosure

Whenever the User passes Outputs on to third parties, they are responsible for properly labeling, marking or disclosing the content as AI-generated when required by applicable law (visible labels, watermarks, metadata, etc.).

5.7 Interaction with third parties on behalf of the User

When an agent communicates with third parties (customers, suppliers, banks, agencies) at the User's request — by email, chat, voice or other channels —, the User undertakes to clearly and prominently disclose that the interlocutor is an AI, using terms such as "AI", "automated agent", "virtual assistant" or equivalents, whenever the channel's legislation or sector regulation requires.

6. Content ownership

6.1 Inputs

The User retains all rights to their Inputs. The User grants the Owner a non-exclusive, worldwide license, remunerated by the plan consideration, free of additional royalties, to process the Inputs exclusively to:

  • Operate and maintain Kobana Team;
  • Execute the User's instructions;
  • Comply with legal and contractual obligations;
  • Ensure security, integrity and fraud prevention.

6.2 Outputs

To the extent permitted by law, the Owner assigns to the User the rights over the Outputs generated for them. The User acknowledges that similar Outputs may be generated for other users from similar inputs, and that the assignment does not guarantee exclusivity over common patterns, factual information or trivial expressions.

6.3 Model training

The Owner does not use User Inputs or Outputs to train third-party base AI models, except when:

  • The User expressly consents in a specific setting;
  • For internal training of Kobana proprietary components, in an aggregated, anonymized or pseudonymized manner, complying with the LGPD;
  • For content flagged by safety and review mechanisms (e.g., serious violations of the usage policy), regardless of the User's preference.

6.4 Feedback

Comments, suggestions, bug reports, evaluations and ideas submitted by the User ("Feedback") may be used by Kobana, without any obligation of compensation or attribution, to improve Kobana Team and other products.

6.5 Kobana's proprietary content

Agent personas, system prompts, internal tools, workflows, trademarks, logos, interface, code, documentation and other elements of Kobana Team are the exclusive property of the Owner or its licensors. The contract grants the User a revocable, non-exclusive, non-transferable and non-sublicensable license of use, exclusively while the subscription is in force and within the limits of these Terms.

7. Acceptable use

The User agrees not to use Kobana Team to:

  1. Violate applicable Brazilian or foreign law, including international sanctions and export controls;
  2. Develop, train or improve a competing AI product, model or agent;
  3. Reverse engineer, bulk-extract (scraping), replicate or decompile the agents, prompts, models or tools;
  4. Circumvent rate limits, quotas, security controls, guardrails or authentication mechanisms;
  5. Access third-party systems or deceive people by posing as a human, without the required disclosure;
  6. Infringe intellectual property, image, honor or privacy rights;
  7. Use automated access other than through an official API key, when made available;
  8. Engage in conduct that exposes the Owner to civil, administrative or criminal liability or reputational damage;
  9. Obtain or provide advice on securities, commodities, derivatives or other regulated financial products without proper qualifications;
  10. Process sensitive data outside the legally admissible hypotheses and without an adequate legal basis;
  11. Generate, store or distribute unlawful, fraudulent, discriminatory, violent, pornographic, child or harm-inciting content;
  12. Engage in money laundering, tax evasion, terrorism financing or any unlawful activity.

The Owner may deny access, suspend or terminate the contract in case of non-compliance, including blocking agentic Actions in progress.

8. High-risk uses

Kobana Team is not intended for uses where failure could cause death, bodily injury or severe environmental damage, nor for autonomous decision-making in regulated environments that require specific AI certification (e.g., medical devices, critical infrastructure, final judicial decisions, large-volume credit scoring without human review).

Users who apply Kobana Team in a sensitive context assume full risk and must implement compensating controls, human review and appropriate due diligence.

9. Third-party integrations

By connecting third-party accounts and services to Kobana Team, the User declares to have authority to do so and accepts that:

  • The third party's terms apply to their respective part;
  • The Owner is not responsible for the availability, accuracy, security, costs or API changes of the third party;
  • Stored credentials and tokens are handled in accordance with the Security Policy;
  • The User may revoke the agent's access to a third party at any time, which may interrupt functionality.

10. Prices, payment and renewal

10.1 Prices

Prices, scope, usage limits (messages, tokens, Actions, users, active agents), SLA and billing method are those of the contracted plan, including all applicable taxes and fees. Price changes will be communicated with a minimum of 90 (ninety) days' notice. Annual adjustments may be applied based on IPCA/IBGE with the same notice.

10.2 Default

In case of late payment, a penalty of 2% (two percent), interest of 1% (one percent) per month pro rata die and monetary adjustment by IPCA/IBGE will apply. Delays of more than 30 (thirty) days authorize the suspension of access.

10.3 Automatic renewal

Subscriptions are automatically renewed through the registered payment method. The User will receive a prior reminder with cancellation instructions.

10.4 Cancellation and reflection period

During the first 30 (thirty) days of the contract, provided that there are no production operations performed on behalf of the User by the agents, the User may cancel with a refund to the same payment method. After this period, the plan's rules apply, including any pro-rated termination penalty based on the contracted commitment.

10.5 Termination by the User

The User may terminate with 30 (thirty) days' prior notice, taking effect at the end of the current period.

10.6 Termination by the Owner

The Owner may terminate with 30 (thirty) days' prior notice in cases of product discontinuation, repeated violation of the Terms or default of more than 60 (sixty) days. Termination without cause by the Owner entails pro-rata return of amounts paid in advance.

11. Personal data protection (LGPD)

Both parties will comply with Law No. 13.709/2018 (LGPD). As a rule:

  • The User is Controller of the personal data they upload, connect or generate through Kobana Team;
  • Kobana is Processor of such data, handling it in accordance with the User's documented instructions and the purposes of these Terms;
  • Kobana implements reasonable technical and organizational measures, notifies material security incidents, assists in handling data subject requests and, at the end of the contract, deletes or returns the data, subject to legal retention periods.

Data processing for agent operation, inference, audit logs and internal improvement is detailed in the Privacy Policy.

12. Confidentiality

Each party will keep the other's confidential information confidential — including technical, commercial, financial, strategic, personal and customer data — for 5 (five) years after the contract ends. Information is not confidential if it is in the public domain, demonstrably known beforehand, legitimately obtained from third parties without a confidentiality obligation, or whose disclosure is required by law/authority, in which case prior notice will be given when possible.

13. Anti-corruption and anti-money laundering

The parties will comply with Law No. 12.846/2013 (Anti-Corruption) and Law No. 9.613/1998 (Money Laundering), as well as equivalent applicable international rules. Violation is a serious breach and authorizes immediate termination, without prejudice to civil and criminal investigation.

14. Warranty disclaimer

Kobana Team is provided "as is" and "as available". The Owner makes no warranties, express or implied, of fitness for a particular purpose, accuracy, reliability, absence of errors or hallucinations, uninterrupted operation, absolute security, perennial third-party integration or non-infringement, except for warranties that cannot be waived by law.

15. Limitation of liability

The Owner shall be liable exclusively for direct damages demonstrably caused to the User as a result of failure, limited in total liability to the amount equivalent to 12 (twelve) months of payments actually made by the User in the 12 months prior to the event.

The Owner is not liable for:

  • Lost profits, indirect, incidental, special, consequential or punitive damages;
  • Losses resulting from force majeure, acts of God, acts of third parties, connectivity failures, incidents at LLM providers, banks, ERPs or other integrated third parties;
  • Damages arising from misuse or use contrary to these Terms;
  • Temporary unavailability for scheduled maintenance;
  • Losses arising from inaccurate Outputs that the User should have verified, or from agentic Actions executed within the permission scopes granted by the User;
  • Financial, accounting, tax, legal or operational decisions made by the User based on Outputs.

16. Indemnification

The User shall indemnify and hold Kobana, its affiliates, directors, employees and agents harmless from any claims, losses, damages, liabilities, costs and reasonable fees arising from (i) violation of these Terms; (ii) misuse of Kobana Team; (iii) Inputs, Outputs or Actions executed on their account; (iv) products, services or decisions built with the support of Kobana Team; (v) violation of law; and (vi) fraud or bad faith.

17. General provisions

  • Non-waiver: the inertia of either party does not entail a waiver of rights.
  • Scheduled interruptions: the Owner may interrupt the service for maintenance or updates with reasonable notice.
  • Resale: resale, sublicensing or commercial exploitation of Kobana Team without prior written authorization is prohibited.
  • Changes to the Terms: the Owner may modify these Terms at any time, with notice by reasonable means. Continued use after the effective date implies acceptance. In case of disagreement, the User may cancel.
  • Assignment: the Owner may assign rights and obligations, including in corporate reorganizations. The User may only assign with prior written authorization.
  • Severability: the invalidity of one provision does not affect the others.
  • Communications: those made through the channels registered by the User and Kobana's official channels shall be considered valid.

18. Governing law and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the District of Barueri, State of São Paulo, are elected to settle any questions arising from these Terms, with waiver of any other forum, however privileged.

19. Definitions

  • Agent: any Kobana Team AI assistant, with its persona, scope and tools.
  • Actions: operations performed by agents in connected systems under User authorization.
  • Inputs / Outputs / Materials: as defined in Section 5.2.
  • Agentic functionality: the agent's ability to execute Actions in third-party systems on behalf of the User.
  • Kobana Team: the product described in Section 2.
  • Owner: Kobana Tecnologia Ltda.
  • Terms: these Terms of Use and documents incorporated by reference.
  • User: any individual or legal entity that uses Kobana Team.
